Grayscale filed an S-1 registration statement with the Securities and Exchange Commission (SEC) for a spot Worldcoin ETF, which would trade on Nasdaq under the ticker GWLD if approved.
The filing comes as WLD trades near $0.376, down approximately 97 percent from its March 2024 peak of $11.74. Grayscale formed the trust on July 10 and filed just 10 days later, with BitGo as custodian and BNY Mellon handling fund administration.

The risks Grayscale itself highlights
Worldcoin’s biometric verification system, which uses a device called the “Orb” to scan users’ eyes, has drawn regulatory scrutiny since its inception. The filing notes that Spain, Portugal, Germany, Hong Kong, Brazil, Kenya, and Indonesia all took action between 2024 and 2025.
The token is hitting some major roadblocks: just 100 wallets own roughly 90 percent of circulating WLD, and team/investor stashes keep unlocking until about July 2028. All those new tokens hitting the market could keep prices pinned down. Grayscale’s filing leaves key details blank, including the fee and trading partners.
What this Worldcoin ETF means for the market
Grayscale has a track record of winning exchange-traded fund (ETF) approvals after its Bitcoin Trust became a spot ETF in January 2024 following a court victory over the SEC. The firm later launched Solana and Dogecoin ETFs.
If this goes well, GWLD would be the first dedicated Worldcoin ETF in the U.S., offering investors exposure without requiring self-custody. However, the token’s extreme volatility and regulatory overhang could make approval an uphill battle. WLD rose about 5 percent following the filing, but the token’s path likely hinges on the ongoing token unlock schedule.
The structural headwind: WLD’s unlock schedule
Grayscale’s filing comes right as WLD deals with a major supply headache that’s been around since day one. The project started with 95 percent of tokens locked up, which led to a “low float, high Fully Diluted Valuation (FDV)” setup that pumped the price before more tokens started hitting the market.
A July 2026 analysis shows that about 4.9 billion WLD tokens (representing 49 percent of the 10 billion maximum supply) are now unlocked, though only around 3.3 billion are actually out there circulating right now.
Things are shifting a bit when it comes to the token’s economics. Starting July 24, 2026, the rate at which WLD unlocks is set to drop by 43 percent, sliding down from roughly 5.1 million WLD daily to about 2.9 million.
This adjustment affects both the community tokens (50 percent cut) and the allocations for the team and investors (32 percent cut). Although this move definitely helps take some of the heat off the supply side of things, the market is still going to be stuck absorbing nearly 3 million brand-new tokens every single day. The filing from Grayscale makes it clear that team and investor tokens are going to keep on unlocking until we hit approximately July 2028.
